Terms of Service

VectorAxis is a product of GK Labs Inc., a company incorporated federally in Canada under the Canada Business Corporations Act ("GK Labs", "VectorAxis", "we", "us"). These Terms of Service ("Terms") govern access to and use of the VectorAxis platform, including the dashboard, API, and documentation (collectively, the "Service"). By creating an account or using the Service you agree to these Terms.
1. Acceptance & Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
2. The Service
VectorAxis is an AI orchestration platform that sits between your application and one or more large-language-model (LLM) providers. The Service includes:
- Routing & fallback — an OpenAI-compatible completions API that routes requests to a provider you configure, with optional retries and fallback chains.
- Virtual keys — credential management for connecting your own provider accounts ("BYOK") or using VectorAxis-managed provider access ("Platform" keys).
- Prompt management — versioned prompt templates, testing, and analytics.
- Routing configs — named configurations for conditional, load-balanced, or fallback routing strategies.
- Guardrails — configurable input/output checks (e.g. PII detection, regex, schema validation) applied to requests.
- Caching — optional exact-match and semantic response caching to reduce cost and latency.
- Observability — request logs, analytics, and export tooling. Calculated request costs shown in logs and analytics are expressed in US dollars (USD).
We may add, change, or remove features of the Service at any time. We will make reasonable efforts to communicate material changes that affect how you use the Service.
3. Accounts, Organizations & Workspaces
Access is organized into organizations and workspaces. Organization admins and owners can invite members, manage workspace membership, and control workspace-level settings. You are responsible for the activity of members you invite and for keeping your account credentials confidential. Notify us promptly at [email protected] if you suspect unauthorized access to your account.
4. Credentials & Virtual Keys
Virtual keys operate in two modes:
- BYOK (bring your own key) — you supply credentials for your own account with a third-party LLM provider. You remain the account holder and responsible party with that provider; VectorAxis only stores and uses the credential to route your requests.
- Platform — you use VectorAxis-managed provider access, billed against a prepaid credit balance (see Section 5).
Provider credentials you supply are encrypted at rest (AES-256-GCM) and are never returned to you or any API caller in plaintext after creation, and are never written to request logs. Only a truncated hint (the last four characters) is ever displayed. You are responsible for the validity, scope, and lawful use of any credential you connect.
5. Platform Keys & Billing
Platform keys are funded by prepaid credits. Provider usage is billed against your credit balance at the underlying provider's rate plus a disclosed service fee; current rates are shown on the pricing page. Full pricing and credit-balance terms are set out in our Platform Policies, which are incorporated into these Terms by reference.
Credit top-ups are processed via Stripe from the billing section of the dashboard. The organization owner can withdraw the credit balance at any time from the dashboard. Withdrawals are all-or-nothing — the full remaining balance, not a partial amount — and are refunded to your original payment card via Stripe, applied against your most recent purchases first, up to the total you originally paid. Any promotional or free credit above what you paid is forfeited on withdrawal, and while a withdrawal is settling, Platform-key usage and new Platform-key creation are paused. Because an outstanding balance represents funds we may owe back to you, an account or organization cannot be deleted while it holds a credit balance — you must withdraw the balance first (see Section 13).
All credits are purchased, denominated, held, consumed, and refunded in US dollars (USD) only, regardless of your country or the currency shown for subscription plans. Stripe charges and refunds are processed in USD; any conversion to your local currency, and any associated fees, are determined by your card issuer and are outside our control.
Prices and plan features are subject to change at any time. We will provide reasonable notice of any pricing changes before they take effect.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, or to generate content that infringes third-party rights or violates applicable law;
- Resell, sublicense, or provide unauthorized third parties with access to the Service or your API credentials;
- Attempt to circumvent guardrails, rate limits, or usage restrictions configured on your own or another customer's account;
- Use Platform-managed provider credentials for any purpose other than through the Service; or
- Interfere with or disrupt the integrity or performance of the Service.
We may suspend or terminate access for a violation of this section, as described in Section 13.
7. Third-Party Model Providers
VectorAxis routes requests to third-party LLM providers (for example OpenAI, Anthropic, and others you configure). We are an intermediary, not the source of model output. When you use BYOK credentials, you are independently bound by that provider's own terms of service and acceptable use policy, and you are solely responsible for your compliance with them. VectorAxis does not control, and disclaims responsibility for, the accuracy, legality, or appropriateness of any model output.
8. Customer Content
"Customer Content" means the prompts, messages, files, and other input you submit through the Service, and the completions/output returned to you. As between you and VectorAxis, you own your Customer Content. You grant VectorAxis a limited license to process, transmit, and cache Customer Content — and to log operational metadata about your requests — solely to provide, secure, and support the Service (including the routing, caching, guardrail, and observability functionality described in Section 2). We do not use Customer Content to train our own models, and we do not sell Customer Content.
9. Guardrails Disclaimer
Guardrail checks (including PII detection, regex matching, JSON-schema validation, and LLM-judge checks) are provided on a best-effort basis to help you enforce policies on requests and responses. They are not guaranteed to detect or block every instance of the content they target, and they are not a substitute for your own compliance, legal, or security review. You remain responsible for how you configure and rely on guardrails.
10. Intellectual Property
VectorAxis and its licensors own all right, title, and interest in the Service, including its software, design, and documentation, excluding your Customer Content. If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.
11. Disclaimers & Limitation of Liability
THE SERVICE AND ANY MODEL OUTPUT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MODEL OUTPUT WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTORAXIS' TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO VECTORAXIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
12. Indemnification
You will defend and indemnify VectorAxis against claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of a third-party model provider's terms.
13. Termination
You may stop using the Service and request deletion of your account at any time by contacting [email protected]. We may suspend or terminate your access for a material breach of these Terms, including a violation of Section 6.
Deletion is subject to your credit balance being settled first: an account or organization with an outstanding, unrefunded Platform-key credit balance will not be deleted until that balance has been fully refunded to you in accordance with Section 5.
14. Changes to These Terms
We may update these Terms from time to time. When you accept these Terms, the version shown at the top of this page is recorded against your account together with the date of acceptance. Where a change is material, we will provide notice and, where appropriate, ask you to review and accept the updated Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, and any dispute will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
